Background

  • Client A is a leading European hardware and software provider, enabling and improving broadband and IoT services to internet operators and service providers.
  • The company has an open source platform, incl. a gateway operating system, a cloud-based management & application platform and several applications.
  • Client B is a European market leader in delivering Fibre-to-the-Home (FttH) equipment connecting the end user with the digital world.
  • The combined company is headquartered in The Netherlands and in Sweden with presence across EU.
  • The investor reached out to JENTS International to develop, shape and drive the integration efforts between companies A and B.

Business Relationship

  • Accent Equity Partners invested in company A in 2016.
  • In 2018, a deal was reached with company B to combine the two firms.
  • JENTS International has developed a constructive relationship with the Private Equity firm over the years, providing support on several occasions.
  • Upon agreement of the company AB merger, JENTS was approached to support both CEO’s in structuring and managing the integration efforts.

Approach

  • Conducted a rapid assessment of both organisations to develop the baseline.
  • Desiged and structured detailed integration efforts in line with integrated company value chain to be managed through a pragmatic PMO.
  • Launched a series of coordinated integration tasks and initiatives and managed & monitored execution progress through the PMO.
  • Lead integration efforts in areas requiring more hands-on support.
  • Supported and coached executives 1:1 plus key stakeholders where appropriate.
  • Acted as an unbiased sounding board to the CEO(s) and Private Equity partner.

Results

  • Developed integrated (strategic) business plan (’19-’23) for the combined, integrated enterprise.
  • Structured and drove full integration in set timeline and achieved key milestones (value chain clarification, -country- sales set-up, product mapping & development, supply chain, organisation structure, Day 1 launch, etc.).
  • Achieved integration synergies targets.
  • Supported and coached key executives in up taking of their (new) roles.
  • Executed in line with strategic goals, objectives and anticipated financial gains (upon deal completion).
